Plain-language commitment. We have written this document to be readable. It remains a legal document, and certain rights or obligations may also appear in a signed agreement or applicable law.
1. Scope and priority
These Terms of Service summarize general conditions for services arranged or provided by Paysys Fintech Ltd. A proposal, application, schedule, partner agreement or other executed customer agreement may add to or replace these terms. If there is a conflict, the executed agreement controls.
2. Our role and partner roles
Paysys may provide money-services, technology, implementation, support, referral or coordination functions, depending on the product. Acquiring, deposit, lending, issuing, custody or other regulated services may be delivered by an identified third party. Paysys is not a bank, lender or card issuer unless expressly stated in the applicable agreement.
3. Eligibility and onboarding
You must provide complete, accurate and current information about ownership, control, business activity, licensing, customers, counterparties, geography and expected transactions. We and our partners may verify information, conduct screening, request documents and decline or limit an application.
4. Authorized instructions
You are responsible for users, credentials, devices and instructions associated with your account. Tell us promptly about unauthorized access, errors or suspected fraud. We may delay or refuse an instruction while reviewing authenticity, compliance or risk.
5. Fees, rates and taxes
Applicable pricing is set out in your proposal or service schedule. Foreign-exchange rates, network assessments, partner charges, intermediary-bank fees, taxes and exceptional service fees may apply. Where practical, transaction-specific rates and charges will be disclosed before confirmation.
6. Settlement, reserves and holds
Settlement timing is an estimate, not a guarantee, and may be affected by cut-off times, partners, weekends, reviews, reversals and external networks. Where the applicable agreement permits, funds may be delayed, withheld or reserved to manage chargebacks, refunds, fraud, legal obligations or other exposure.
7. Refunds, disputes and chargebacks
You remain responsible for your customer terms, fulfilment, refunds and evidence. Card-network or partner rules may permit a transaction to be reversed. You must respond within stated deadlines and remain responsible for valid reversals, related fees and negative balances.
8. Compliance and prohibited use
You must comply with applicable law, sanctions, network rules and the Paysys Acceptance Policy. You may not use a service for undeclared activity, unlawful goods or services, deceptive practices, unauthorized aggregation, evasion of controls, or transactions involving sanctioned or prohibited parties.
9. Data and security
Each party must protect credentials and confidential information using reasonable safeguards. Personal information is handled as described in the Privacy Policy. You must maintain security controls appropriate to your channels, including applicable payment-card requirements.
10. Suspension and termination
Services may be restricted or suspended for legal, partner, security, fraud, credit, misrepresentation or material breach concerns. Either party may terminate as permitted by the applicable agreement. Rights concerning fees, reversals, reserves, confidentiality and liability may continue after termination.
11. Warranties and liability
No service is guaranteed to be uninterrupted or suitable for every purpose. Liability limitations, exclusions and indemnities are set out in the applicable agreement and apply only to the extent permitted by law. Paysys does not exclude liability that cannot lawfully be excluded.
12. Complaints and governing law
Please use the Complaints Policy if something goes wrong. Unless the executed agreement says otherwise, these terms are governed by Ontario law and applicable Canadian federal law.
